Director, Legal Counsel - Detalhes da Vaga. ● 3 billion square foot portfolio and an annual throughput of approximately $3. ●2 trillion. ● We create the intelligent infrastructure that powers global commerce, seamlessly connecting the digital and physical worlds. ● From agile supply chains to energy solutions, our ecosystems help your business move faster, operate smarter and grow sustainably. ● With unmatched scale, innovation and expertise, Prologis is a category of onenot just shaping the future of logistics but building what comes next. ●Job TitleDirector, Legal CounselCompanyPrologisDirect ReportVP, Legal CounselLocationSão Paulo-SP, BrazilA day in lifePrologis is seeking a senior legal counsel to join its Brazil legal team based in São Paulo, working under the supervision and leadership of the local VP Legal Counsel. ● We welcome highly qualified candidates with extensive experience, a broad-based, solutions-oriented legal background, and a practical, handson approach, together with the ability to independently lead all legal aspects of sophisticated real estate transactions, environmental matters, leasing (including BTSs), litigation, and property management, while ensuring compliance with corporate policies, regulatory frameworks, and contractual obligations. ●This individual will be a key member of the legal teama savvy business attorney who thrives in a fast-paced, collaborative environment providing sound, practical legal advice in a broad range of activities associated with owning, developing, financing, and operating real estate platforms. ● Contrary to a passive oversight role, the selected candidate will be a handson practitioner and trusted advisor at the forefront of sophisticated real estate deals, proactively negotiating and closing some of the most complex real estate transactions and lease agreements in the industry. ● Their work will directly impact Prologis growth and expansion, with a focus on bringing agility and internalizing expertise across the entire platform. ●This attorney will play a key role in internalizing legal expertise related to all aspects of a sophisticated real estate platform, including acquisitions, builttosuit projects, and strategic ventures. ● They will support the entire platform across the full project lifecycle. ●The role also involves integrating new Prologis business lines into the real estate framework, ensuring alignment between operations and customer relationships. ● The attorney will be customerfacing, supporting and coordinating the business platforms including contract enforcement and monitoring condominium rules compliance, as well as engaging external litigation counsel. ●Key responsibilities include- Lead legal due diligence, identify and mitigate risks, and structure solutions that protect Prologis interests. ●- Review transaction documents to assure Prologis interests are appropriately addressed. ●- Draft and negotiate all realestate related agreements including easements, leases, construction and development agreements, condominium bylaws, costsharing agreements, and service agreements. ●- Structure and quarterback builttosuit transactions, ensuring smooth closings and transition to the development team. ●- Oversee title, survey, and condominium matters, coordinating external resources as needed. ●- Support and drive legal aspects of entitlements, land use, power procurement and related filings. ●- Manage outside counsel on litigation, entitlements, taxation and property management. ●- Select and manage outside counsel, including fee proposals and agreements. ●- Anticipate and address emerging legal challenges as Prologis business platform evolves. ●Education- Law diploma from an accredited law school in Brazil. ●- OAB from Brazil and a good standing certificate issued by the entity. ●- Minimum of 15 years of realestate experience aligned with the responsibilities described;
